The rules and conditions that govern your use of the Lead Prospecting AI platform and related services.

These Terms of Service ("Terms") govern your use of the Lead Prospecting AI platform, website, and related services ("Service") provided by Lead Prospecting AI, LLC ("LPAI," "we," "us," or "our"), a veteran-owned company based in Twin Falls, Idaho. By creating an account or using our Service, you agree to these Terms.

1. Service Description

LPAI provides a business growth platform that includes:

•Customer Relationship Management (CRM) with contacts, pipelines, quotes, invoicing, and unified inbox
•B2B lead scraper (Google Maps and business directory data extraction)
•Email warming and deliverability optimization
•AI-powered content generation (blog posts, social media, email campaigns)
•Social media scheduling and management
•AI receptionist (voice AI phone answering)
•SEO optimization and rank tracking
•Custom website design and development
•Done-for-you content writing services

2. Account Registration

•You must be at least 18 years old and have the legal authority to bind your business to these Terms.
•You must provide accurate, current, and complete information during registration.
•You are responsible for maintaining the confidentiality of your account credentials.
•You are responsible for all activity that occurs under your account.
•Notify us immediately at info@leadprospecting.ai if you suspect unauthorized access.

3. Free Trials

•Free trials are available for the CRM Plan ($99/mo) and Email Warming ($29/mo) only.
•Trials last 14 days from account creation. No credit card is required to start a trial.
•At the end of the trial period, you must subscribe to continue using the service. Access to trial features will be suspended if you do not subscribe.
•We reserve the right to modify or discontinue free trial offers at any time.

4. Billing & Payments

•Subscriptions: Paid plans are billed monthly or annually in advance. Annual plans are billed as 10 months upfront (2 months free).
•One-Time Purchases: Website design, blog page setup, and other one-time services are billed at time of purchase.
•Usage-Based Services: Lead scraper credits, AI receptionist overages, and per-unit content are billed based on usage.
•Payment Processing: All payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred.
•Price Changes: We may change pricing with 30 days written notice. Existing subscribers are grandfathered at their current rate until the end of their current billing period.
•Taxes: Prices do not include applicable taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.
•Failed Payments: If a payment fails, we will attempt to charge the payment method up to 3 times. If all attempts fail, the account may be suspended after a 7-day grace period.

5. Refund Policy

•Subscriptions: No refunds for partial months or unused subscription time. You may cancel at any time and your access continues through the end of the current billing period.
•One-Time Services: Website design and setup fees are non-refundable once work has begun. If work has not started, a full refund may be issued within 7 days of purchase.
•Lead Scraper Credits: Purchased credits are non-refundable. Unused credits do not roll over between billing periods.
•Disputes: If you believe you were charged in error, contact us within 30 days at info@leadprospecting.ai.

6. Cancellation

•You may cancel your subscription at any time from your account settings or by contacting support.
•Cancellation takes effect at the end of the current billing period.
•Upon cancellation, you retain access to your data for 30 days. After 30 days, your data may be permanently deleted.
•You may request an export of your data (contacts, quotes, etc.) before cancellation.

7. Acceptable Use

You agree not to use the Service to:

•Send unsolicited bulk email (spam) in violation of CAN-SPAM, GDPR, or other applicable anti-spam laws.
•Violate the Telephone Consumer Protection Act (TCPA) or equivalent laws when using the AI receptionist or contacting leads.
•Scrape or harvest data for resale as a standalone data product.
•Impersonate any person or entity, or misrepresent your affiliation.
•Upload malicious code, viruses, or any content that could harm our systems or other users.
•Attempt to gain unauthorized access to other users' accounts or our internal systems.
•Use the AI content tools to generate content that is defamatory, threatening, harassing, or illegal.
•Violate any applicable local, state, national, or international law or regulation.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Lead Scraper Terms

•The lead scraper collects publicly available business information from Google Maps and business directories.
•Data accuracy is not guaranteed. We provide leads "as is" and make no warranty regarding the completeness or accuracy of any individual lead record.
•You are solely responsible for how you use scraped lead data, including compliance with CAN-SPAM, TCPA, GDPR, CCPA, and any other applicable data protection laws.
•LPAI is not liable for any legal action resulting from your use of scraped data.
•Lead data is licensed for your business use only and may not be resold or redistributed.

9. Email Warming Terms

•Email warming involves sending and receiving automated emails on your behalf to build sender reputation.
•By enabling warming, you authorize LPAI to send emails from your connected email accounts.
•Warming emails are automatically cleaned from your inbox and sent folder.
•Results are not guaranteed. Deliverability depends on many factors including domain age, content quality, and sending practices.

10. AI-Generated Content

•Content generated by our AI tools (blog posts, social media posts, email campaigns, AI receptionist scripts) is created for your use only.
•You own the content generated for your account. LPAI retains no rights to content created for you.
•AI-generated content may require review and editing before publication. You are responsible for ensuring content accuracy and compliance with applicable laws.
•We do not guarantee that AI-generated content will be factually accurate, original, or suitable for your specific use case.

11. Website Design Services

•Website design services include the number of pages and features specified in the purchased package or custom quote.
•You own all original content and design assets created for your website.
•Websites are hosted on LPAI infrastructure. Year 1 hosting is included; hosting fees apply thereafter ($20/mo).
•One round of revisions is included in all packages. Additional revisions may incur fees.
•Custom and enterprise projects are governed by their individual project agreements.

12. SEO Services

•SEO services include the features specified in the purchased plan (keyword tracking, on-page optimization, technical audits, etc.).
•We do not guarantee specific search engine rankings, traffic levels, or business outcomes.
•SEO is a long-term strategy. Results typically take 60-90 days to materialize and compound over time.
•Enterprise SEO projects (site migrations, custom strategy) are governed by their individual project agreements.

13. Intellectual Property

•Our IP: The LPAI platform, code, design, trademarks, and documentation are owned by Lead Prospecting AI, LLC. You may not copy, modify, distribute, or reverse-engineer any part of the platform.
•Your IP: You retain all rights to the data and content you input into the platform. We claim no ownership over your business data, contacts, or generated content.
•Feedback: If you provide suggestions or feedback, we may use it to improve the platform without obligation or compensation.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

•THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
•WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
•IN NO EVENT SHALL LPAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY.
•OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless LPAI, its founders, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

16. Dispute Resolution

•Governing Law: These Terms are governed by the laws of the State of Idaho, United States.
•Informal Resolution: Before filing any legal claim, you agree to contact us at info@leadprospecting.ai and attempt to resolve the dispute informally for at least 30 days.
•Jurisdiction: Any legal action shall be brought in the courts of Twin Falls County, Idaho.

17. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

18. Termination

•We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our discretion with 30 days notice.
•Upon termination, your right to use the Service ceases immediately. Your data will be available for export for 30 days, after which it may be permanently deleted.

19. Miscellaneous

•Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and LPAI.
•Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
•Waiver: Failure to enforce any provision does not waive our right to enforce it later.
•Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights at any time.
